Students work in\nteams to draft, mark-up and negotiate an acquisition agreement.&nbsp; In the simulation, they interact with\nclients, senior lawyers and opposing teams via video conference, email and\ntelephone.<\/p>\n\n\n\n<p><strong>Why participate?<\/strong><\/p>\n\n\n\n<p><a href=\"https:\/\/www.wsj.com\/articles\/move-over-moot-court-budding-deal-lawyers-get-their-own-competition-1489496400\">LawMeets\u00ae<\/a>\nhas developed simulation exercises for aspiring deal lawyers for over a\ndecade.&nbsp; We are running this Boot Camp to\nprovide a high-value, practical learning experience that offers exposure to an\nimportant area of practice \u2013 mergers and acquisitions.&nbsp; We are concerned about the impact the Covid-19\nhealth crisis may have on the summer experiences that will be available to the\nnext generation of deal lawyers.&nbsp; While\nnot a substitute for the \u201chands on\u201d experiences that a summer clerkship offers\nin normal times, the Boot Camp will expose participants to M&amp;A concepts,\nforms of agreement, and most importantly, senior practitioners and their \u201cknow\nhow\u201d.<\/p>\n\n\n\n<p>The LawMeets\u00ae M&amp;A Boot Camp is being presented in\nassociation with the <a href=\"https:\/\/www.americanbar.org\/groups\/business_law\/committees\/ma\/\">M&amp;A\nCommittee of the ABA Business Law Section<\/a>.&nbsp;\n<a href=\"https:\/\/www.hotshotlegal.com\/topics\">Hotshot<\/a> is providing\nfree access to its library of instructional videos to all teams.&nbsp; Several law firms are also providing both\nmanpower and financial support.&nbsp; Scores\nof senior M&amp;A practitioners are volunteering to serve as experts to observe\nand review team performances and provide feedback.<\/p>\n\n\n\n<p><strong>What is the schedule?<\/strong><\/p>\n\n\n\n<p>The Boot Camp will be held this summer and has two phases \u2013\nExercises and Finals.&nbsp; <\/p>\n\n\n\n<p>During the Exercises, all teams will participate in four\nmodules, each lasting two weeks, focused on different parts of an acquisition\nagreement.&nbsp; In each module, teams will be\nasked to draft and mark-up provisions in an acquisition agreement.&nbsp; They will have meetings with their\nclient.&nbsp; The culmination of each module\nwill be a simulated negotiation between two teams and observed by an expert\nM&amp;A practitioner.&nbsp; Each team will\nreceive feedback from the expert on its drafting and negotiation skills.<\/p>\n\n\n\n<p>Each module will kick off with an \u201call hands\u201d webinar in\nwhich participants will learn the basics needed to approach each exercise.&nbsp; Background resources, Hotshot\u2019s library of\ninstructional videos, and other materials on topics relevant to the exercise\nwill also be provided to all teams.<\/p>\n\n\n\n<p>The top performing teams in the Exercises will be invited to\nparticipate in the Finals.&nbsp; These teams\nwill participate in a series of elimination rounds over the course of two\nweeks.&nbsp; These rounds will be performed\nbefore a panel of senior M&amp;A practitioners.&nbsp;\nAll teams will be invited to watch these rounds and participate in the\npost-round discussions with the experts.<\/p>\n\n\n\n<p>The first of the four Exercises will open on May 30,\n2020.&nbsp; The Finals will be held from July\n25 \u2013 August 7, 2020.<\/p>\n\n\n\n<p><strong>Who can participate?&nbsp;\n<\/strong><\/p>\n\n\n\n<p>Any student pursuing a law degree (J.D., LL.B., LLM) at an\naccredited law school in the US or Canada may participate.&nbsp; Selected students from other countries may\nalso be invited to participate.&nbsp; Teams\nmust consist of two students.&nbsp; Teams are\nNOT required to be from the same school.<\/p>\n\n\n\n<p><strong>Do we need a coach?<\/strong><\/p>\n\n\n\n<p>Yes, each team is required to have a coach.&nbsp; A coach must be a practitioner or law faculty\nmember with significant M&amp;A experience.&nbsp;\nIn addition to agreeing to serve as a resource to a team, each coach is\nasked to serve as an expert during two or more of the Exercises.&nbsp; <\/p>\n\n\n\n<p>Teams should approach the relevant faculty members at their\nlaw schools for recommendations of coaches.&nbsp;\nIf a team cannot identify a coach, LawMeets\u00ae and our sponsors may be\nable to assist.<\/p>\n\n\n\n<p>Experienced M&amp;A practitioners who are interested in\ncoaching a team or serving as an expert are asked to complete this <a href=\"https:\/\/forms.gle\/EckJ6safaeTPZ8yg9\">form<\/a> or to contact Professor\nKarl Okamoto at Contact@lawmeets.com.<\/p>\n\n\n\n<p><strong>Can we get school credit?&nbsp;\nAre there prizes?<\/strong><\/p>\n\n\n\n<p>LawMeets\u00ae does not provide academic credit for its\nprograms.&nbsp; Several law schools, however,\nhave provided academic credit for participation in past LawMeets\u00ae\nprograms.&nbsp; Students should consult with\ntheir law school.<\/p>\n\n\n\n<p>All participants who complete the four Exercises in a\nsatisfactory manner will receive a certificate of completion.&nbsp; Prizes will be awarded to teams who participate\nin the Finals.<\/p>\n\n\n\n<p><strong>How do I apply?&nbsp; What\ndoes it cost?<\/strong><\/p>\n\n\n\n<p>We recognize that it may be difficult to know at this point\nwhat this summer will bring.&nbsp;
